AGREEMENT TO TERMS

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and BEEPIXL (“Company,” “we,” “us,” or “our”), concerning your access to and use of the https://beepixl.com website as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”). We are registered in India and have our registered office at 244 Central Bazzar, Navsari, Gujarat 396445, India.

By accessing or using the Site, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Site.

1. PRODUCTS AND SERVICES

1.1 Laptop Batteries

We sell replacement laptop batteries through our online store. All laptop batteries sold on this Site are compatible third-party replacements unless explicitly stated as OEM (Original Equipment Manufacturer) products. Product descriptions, specifications, compatibility information, and images are provided for informational purposes. We make every effort to display product information accurately, but we cannot guarantee that colors, sizes, or other details displayed on your device are perfectly accurate.

1.2 SaaS Software Subscriptions

We offer Software-as-a-Service (SaaS) products including but not limited to CRM software, custom software solutions, and other cloud-based applications. SaaS subscriptions provide you with limited, non-exclusive, non-transferable access to our software for the duration of your subscription term. SaaS subscriptions do not grant you ownership of the software.

1.3 Service Offerings

We also provide IT services including website design, mobile app development, UI/UX design, social marketing, and custom software development. Service engagements are governed by separate statements of work or service agreements as applicable.

2. PRICING AND PAYMENT

2.1 Pricing

All prices for physical products (laptop batteries) are displayed in Indian Rupees (INR) and are inclusive/exclusive of applicable taxes as indicated at checkout. Prices for SaaS subscriptions are displayed per billing cycle (monthly or annual) as applicable. We reserve the right to change prices at any time without prior notice. Price changes will not affect orders already confirmed.

2.2 Payment

Payment for all orders must be made by credit card, debit card, net banking, UPI, or other payment methods as available at checkout. We use third-party payment processors (including Razorpay) to handle payment transactions securely. We do not store your full credit card details on our servers.

2.3 Billing for Subscriptions

SaaS subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date. You authorise us to charge your payment method on a recurring basis for the applicable subscription fees plus any applicable taxes.

3. ORDERS AND DELIVERY

3.1 Order Acceptance

Placing an order on the Site constitutes an offer to purchase. We reserve the right to accept or decline any order at our sole discretion. An order confirmation email does not constitute acceptance of your order; acceptance occurs only when we dispatch the product or activate the service.

3.2 Delivery of Physical Products

Laptop batteries will be shipped to the delivery address provided at checkout. Delivery timelines are estimates and may vary based on location, stock availability, and shipping carrier. We are not responsible for delays caused by shipping carriers, customs, or events beyond our reasonable control.

3.3 Activation of SaaS Subscriptions

SaaS subscription access is activated upon successful payment. Login credentials and access details will be sent to the email address associated with your account.

4. WARRANTY AND LIABILITY

4.1 Laptop Battery Warranty

All laptop batteries come with a limited manufacturer warranty of 6 to 12 months from the date of delivery (varies by product, as specified on the product page). The warranty covers defects in materials and workmanship under normal use. The warranty does not cover damage caused by misuse, abuse, modification, or improper installation. 4.2 SaaS Service Level

We strive to maintain 99.9% uptime for our SaaS services. Scheduled maintenance windows will be communicated in advance when possible. We are not liable for downtime caused by factors beyond our reasonable control, including but not limited to internet outages, force majeure events, or third-party service failures.

4.3 Limitation of Liability

To the maximum extent permitted by applicable law, BEEPIXL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of our products or services. Our total aggregate liability shall not exceed the amount paid by you for the specific product or service giving rise to the claim.

5. INTELLECTUAL PROPERTY

All content on the Site, including but not limited to text, graphics, logos, images, software, and code, is the property of BEEPIXL or its licensors and is protected by Indian and international copyright, trademark, and other intellectual property laws. SaaS subscription grants a limited license to use the software; it does not transfer ownership or intellectual property rights.

6. USER ACCOUNTS

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorised use of your account. We are not liable for any loss arising from unauthorised use of your account.

7. PROHIBITED CONDUCT

You agree not to:

  • Use the Site for any unlawful purpose
  • Attempt to gain unauthorised access to any part of the Site or its systems
  • Interfere with or disrupt the Site or servers
  • Reverse engineer, decompile, or disassemble any SaaS software
  • Share, resell, or redistribute your SaaS subscription access
  • Use automated systems (bots, scrapers) to access the Site

8. PRIVACY

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection and use of your personal information.

9. DISPUTE RESOLUTION

Any dispute arising out of or relating to these Terms or your use of the Site shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the courts located in Navsari, Gujarat, India.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless BEEPIXL, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of the Site, products, or services, or your violation of these Terms.

11. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on this page with an updated “Last updated” date. Your continued use of the Site after any changes constitutes acceptance of the modified Terms.
